So ive got my family to get me the new iPod Touch 4 i have the 2nd Generation but i want to know what is the biggest Up's and biggest Down's of the new iPod?

You should check out this comparison.
The good: Higher resolution screen, cameras, smaller design, FaceTime, multitasing.
The bad: Nothing is really bad compared to the 2G iPod Touch.

A few good things are:
Retina Display like the iPhone 4 - FaceTime - Facing and Front Facing Cameras - A lot faster with Apples A4 Chip - iOS 4.0 includes Multitasking and Homescreen Wallpaper
A few bad things are:
The thinness, my Uncle has one and it slipped out of his hand into a puddle of water :( - It hasn't got a very good camera, not as good as the iPhone 4's camera - As cusinndzl said, it is not very much better than the iPod Touch 2nd Generation

Well, it can run 4.X to the fullest, has a a front, and rear camera (Not as good as the iPhone 4's, but that's to be expected), retina display, thinner/lighter, etc.
I don't see how anything could have gotten worse, if all they did was add features...
