So i need to password protect my USB drive with a tool that supports exFAT i searched for a while but still no solution. i do not want to use bitlocker because i am on XP and bitlocker is read only. i was intending to use Safehouse but this only supports NTFS formatted drives. any other software outthere?

You should use NTFS, to me it's more secure and it's better than exFAT. If you are going to use it just on Windows, you will be fine.
